Anthropic IPO filing discloses first-of-its-kind governance structure
In its IPO prospectus, Anthropic disclosed a first-of-its-kind governance structure: seven co-founders will control the company through a single golden share with super-voting rights, and early investors Amazon and Google hold only non-voting shares. The prospectus also provides that a separate council selects a majority of board seats, with members being trustees with AI safety expertise and no economic stake in the company. Of the document's 318 pages, 94 are used to disclose AI risks, and it warns that the insurance industry as a whole may lack the capacity to underwrite the risk of a catastrophic AI-related incident; Axios called it an unusually candid warning to investors, and the co-founders said they may choose to proceed more slowly even if that puts the company at a competitive disadvantage.
Of the 318 pages of the prospectus, 94 pages disclose AI risks; its arrangement in which a safety trustee selects the majority of the board can serve as a sample for observing safety governance after a lab's listing.
